Welcome to Red Stapler. These Terms of Use govern your access to and use of the Red Stapler website, registration forms, communications and services.
By accessing or using Red Stapler, submitting information through the website, or registering with Red Stapler, you agree to these Terms of Use.
1. About Red Stapler
Red Stapler is a professional work platform designed to connect experienced professionals with organizations offering opportunities that permit outside professional work.
Opportunities may include employment, contract, fractional, advisory, consulting, project-based, teaching and other professional engagements.
Red Stapler is built on the principle that a professional career may include more than one role, employer, client or professional commitment.
2. Eligibility
You must be legally capable of entering into these Terms to use Red Stapler.
You agree to provide accurate and truthful information about yourself, including your identity, professional experience, qualifications, skills, availability and interests.
You must not impersonate another person or misrepresent your professional background or ability to perform work.
3. Non-Exclusive Work
Opportunities presented through Red Stapler are intended to permit outside professional activity, subject to the requirements associated with each opportunity.
Non-exclusive work does not mean unrestricted work.
Employers and organizations may establish reasonable requirements concerning working hours, availability, confidentiality, conflicts of interest, competitors, intellectual property, regulatory obligations and other legitimate business considerations.
Professionals remain responsible for determining whether they are permitted to accept additional work under their existing employment agreements, contracts, workplace policies and other obligations.
4. Professional Freedom. Professional Responsibility.
Red Stapler is designed for people who can manage multiple professional commitments responsibly.
Professionals are expected to honour confidentiality, avoid prohibited conflicts of interest, accurately represent their availability, meet agreed working hours and schedules, appropriately account for compensated or billable time, and deliver on their professional commitments.
Non-exclusive work does not permit professionals to improperly bill or receive compensation from multiple organizations for the same working time or to accept commitments they cannot reasonably fulfill.
5. Conflicts of Interest and Confidentiality
You are responsible for identifying, disclosing and appropriately managing actual or potential conflicts of interest relating to opportunities pursued through Red Stapler.
You are also responsible for complying with confidentiality, intellectual property, privacy, security and other obligations owed to current or former employers, clients and other organizations.
Red Stapler does not authorize you to disclose or use confidential information belonging to another person or organization.
6. Professional Opportunities
Red Stapler may facilitate connections between professionals and employers or other organizations.
Unless expressly stated otherwise, Red Stapler is not a party to the employment, consulting, contracting or other professional relationship created between a professional and an organization.
The parties are responsible for evaluating one another, conducting appropriate due diligence, negotiating the terms of their relationship and determining whether an opportunity is suitable.
7. No Guarantee of Opportunities
Registration with Red Stapler does not guarantee access to any particular opportunity, introduction, interview, contract, engagement or employment.
Red Stapler does not guarantee that an employer will select a professional or that a professional will accept an opportunity.
8. Information You Provide
You may provide Red Stapler with information about your professional background, experience, skills, interests, preferred types of work, availability, capacity and working arrangements.
You are responsible for ensuring that information you provide is accurate and does not infringe the rights of another person or organization.
The collection, use and disclosure of personal information is governed by the Red Stapler Privacy Policy.
9. Acceptable Use
You must not use Red Stapler to engage in fraudulent, deceptive, unlawful or abusive activity.
You must not use Red Stapler to misrepresent your identity or qualifications, interfere with the operation or security of the website, gain unauthorized access to information, improperly collect information about other users, violate confidentiality or intellectual property rights, or otherwise misuse the platform.
Red Stapler may restrict or discontinue access to its services where these Terms are violated or where necessary to protect Red Stapler, its users or others.

Third-party services operate under their own terms, policies and practices. Red Stapler is not responsible for the availability, content, security or practices of independent third parties.

The Red Stapler name, branding, website content, graphics, designs and other original materials are owned by or licensed to Red Stapler and are protected by applicable intellectual property laws.
You may not reproduce, distribute, modify or commercially use Red Stapler materials without authorization except as permitted by law.

Red Stapler provides a platform for professional connections and information. Red Stapler does not provide legal, tax, employment, accounting or other professional advice.
Professionals and organizations are responsible for obtaining independent advice where appropriate and for determining whether any employment or professional arrangement complies with applicable laws, contracts and policies.
13. Limitation of Liability
To the extent permitted by applicable law, Red Stapler will not be responsible for losses arising from the actions, omissions, representations, decisions or performance of professionals, employers, organizations or other third parties using or encountered through the platform.
Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

Red Stapler may update these Terms as its services evolve.

Red Stapler respects your privacy. This Privacy Policy explains how Red Stapler collects, uses, discloses, retains and protects personal information when you use our website, register with Red Stapler or otherwise interact with us.

Registering with Red Stapler does not automatically make your professional information publicly visible.
During the current early-access stage of Red Stapler, individual professional registration information will not be publicly displayed or provided to prospective employers for recruiting purposes without the individual's permission.
As Red Stapler develops features that may allow professionals to become discoverable by employers, professionals will be provided with information about those features and appropriate choices regarding participation and visibility.
4. Aggregated and De-Identified Information
Red Stapler may use aggregated or de-identified information to understand its professional community, improve its services, conduct analysis and communicate information about workforce interests and trends.
For example, Red Stapler may describe the number or proportion of professionals interested in particular industries, professional functions, seniority levels, types of opportunities, working arrangements or availability.
We will not use aggregated reporting intended for these purposes to identify individual professionals.
5. Consent and Your Choices
Where consent is required, Red Stapler will seek consent appropriate to the nature of the information and the purpose for which it will be collected, used or disclosed.
